LegalZoom.co.uk is a website operated by LegalZoom Enterprises Ltd (“LegalZoom”, “we” or “us”). LegalZoom is registered in Malta under company number C59888 and its registered office is at 171, Old Bakery Street, Valletta, VLT 1455, Malta. 

LegalZoom is not a law firm and is not acting as your solicitor. LegalZoom does not practice law and does not give legal advice. The content of the website is provided for guidance and information purposes only and should not be relied upon as legal advice.

These Terms and Conditions (the “Terms”) are a legally binding agreement between you and LegalZoom. These Conditions govern your access and use of LegalZoom.co.uk (the “Website”), including any part thereof and any User Services (see paragraph 2 below) offered thereon. By accessing this Website, you acknowledge that you have read, understood and confirmed your acceptance of all the parts of the Terms. It is important that you read and understand the Terms before you start to use this Website. If you do not agree with all parts of the Terms then you are not authorised to use this Website. You may print and keep a copy of the Terms for your reference.

As the services provided by the Website are generally not provided in person, you agree that all agreements and information related to such agreements may be provided via electronic media such as email or electronic documents provided via your account on LegalZoom.co.uk.

2. User Services

The following services are provided on and by way of this Website. These services are collectively referred to in these Terms as the “User Services”:

2.1 Document Preparation Service

The content of this Website, including the Document Preparation Services made available thereon (the “Content”), is provided for guidance and information purposes only and is not to be construed as advice legal or otherwise.

While every care has been taken in the preparation of the Content, documents created using the Document Preparation Service may have to be tailored to suit your particular circumstances. LegalZoom does not in any way recommend that the documents available through the Document Preparation Service are suitable for you in your particular circumstances. Such a recommendation can only be made by a solicitor once you have obtained their legal advice on the particular document or with regard to your specific case, through the Legal Plan Service or through your separate instruction of such a solicitor.

The basis on which you acquire or make use of any document is that the document is suitable to be used by you in conjunction with proper legal advice as to its application and adaptation for your particular requirements. The documents are not made available to you on any other basis.

The Document Preparation Service enables you to draft a document by self-help. It does not provide legal advice nor does it represent a legal service. It is designed to collect relevant information and data to assist in the preparation of a legal Document. It is designed for use by persons who do not have complex legal requirements or who have taken appropriate legal advice from a solicitor as described above. Upon completion of document drafting, a copy of your document will be stored in your account in Microsoft Word or Adobe PDF format. You are free to download and save that document for your own use.

2.2 Legal Plan Services

Legal Plan Services are provided through a third-party independent law firms under the terms of the Legal Plan Contract. Should you find that the Legal Plan Services do not provide the assistance you need in your particular case, you may engage the services of a lawyer at your firm to take on your case. The full terms upon which the solicitor will provide this service to you, will be set out in their written terms of engagement.

2.3 Company Formation Services

Company Formation Services are provided by A1 Company Services Limited, a third-party independent contractor. A1 Company Services Limited is a private limited company registered in England and Wales under number 4727888 with a registered office at Winnington House, 2 Woodberry Grove, North Finchley, London N12 0DR.

2.4 Commencement of Services

By accepting these Terms, you are providing your agreement in writing to enable us to commence work within the 14 calendar day cancellation period discussed in Section 4.1 of the Terms. Where you have provided your consent for work to commence within the 14 calendar day cancellation period and you later exercise your right to cancel, you will be liable for any costs, VAT and disbursements incurred up to the point of cancellation. If the service has been provided within the cancellation period, you will lose your right to cancel the contract.

3. Value Added Tax (“VAT”) and territorial limitations for the purchase of products through www.legalzoom.co.uk

A. “VAT territory of the European Union” means the following territories: Austria, Belgium, Bulgaria, Croatia, Cyprus (excluding that part of Cyprus over which the Cypriot Government does not exercise effective control, but including the Sovereign base areas in Cyprus (Akrotiri and Dhekelia)), the Czech Republic, Denmark (excluding the Faroe Islands and Greenland), Estonia, Finland (excluding the Åland Islandsi), France (excluding Guadeloupe, Martinique, Reunion, St Pierre and Miquelon and French Guiana, but including the Principality of Monaco), Germany (excluding the Island of Heligoland and the Territory of Büsingen), Greece (excluding Mount Athos), Hungary, Ireland, Italy (excluding Livigno, Campione d'Italia and the Italian Waters of Lake Lugano), Latvia, Lithuania, Luxembourg, Malta, the Netherlands (excluding the Antilles), Poland, Portugal (including the Azores, and Madeira), Romania, Slovakia, Slovenia, Spain (excluding the Canary Islands, Ceuta, and Melilla, but including the Balearic Islands), Sweden, and the United Kingdom (excluding the Channel Islands and Gibraltar, but including the Isle of Man). The VAT territory of the European Union is subject to change as further states join the European Union.

B. All prices are subject to applicable VAT.

C. The User Services listed on the Website are not available for purchase by any business customer established outside the VAT territory of the European Union (as defined at 3.A. above) who would otherwise purchase the relevant product in the course of business from outside the VAT territory of the European Union in circumstances where it would not receive the relevant User Service through a business or other fixed establishment within such VAT territory (a “Non-EU Business Customer”).

D. If you are, or believe you may be, a Non-EU Business Customer, you should not go ahead with any purchase through the Website. By accepting these Terms & Conditions of Sale you confirm without reservation that you are not a non-EU Business Customer.

E. If you are a business customer who will receive the relevant User Service through a business or other fixed establishment within the VAT territory of the European Union (as defined at 3.A above) other than Malta, please note that you may be required to account for VAT yourself in the EU member state where the relevant business or other fixed establishment is located under what is known as the ‘reverse charge’ procedure in addition to any Malta VAT that may be charged to you by LegalZoom on top of its prices. If the relevant business or other fixed establishment is not VAT registered in its EU member state, the purchase of User Services may also affect the value of taxable supplies deemed to be made by such establishment for the purpose of determining whether the VAT registration threshold applicable in the relevant EU member state (which determines whether an establishment is liable to register for VAT) is exceeded.

F. If you are in any doubt as to your VAT position, it is recommended that you consult your own adviser before going ahead with any purchase of User Services through this Website.

4. Satisfaction Guarantee and Cancellation of Contracts

In addition to certain guarantees provided by law, LegalZoom guarantees your satisfaction with our services and support. If you are not satisfied with our services, please contact us immediately and we will correct the situation, provide a refund or offer credit that can be used for future LegalZoom orders.

LegalZoom Satisfaction Guarantee Details:

If you're not satisfied, simply call us during our normal business hours. All requests made under this guarantee must be made within 60 days of purchase. We will process your request within 5 business days. Unfortunately, we can't refund or credit any money paid to government entities, such as filing fees or taxes, or to other third parties with a role in processing your order. We also cannot refund any money paid by you directly to third parties, such as payments made by you directly to solicitors affiliated with our legal plans.

Please note that we cannot guarantee the results or outcome of your particular procedure. For instance, the Companies House may reject an incorporation filing for legal reasons beyond the scope of LegalZoom's service. Similarly, LegalZoom does not guarantee the results or outcomes of the services rendered by our legal plan lawyers or lawyer-assisted products. Problems like these are beyond our control and are not covered by this guarantee.

Since we're dedicating time and effort to your legal document preparation, our guarantee only covers satisfaction issues caused by LegalZoom - not changes to your situation or your state of mind.

4.1 Cancellations under the Consumer Contracts Regulations 2013

Notice of Right to Cancel

In the event that our satisfaction guarantee provides a lesser guarantee than that provided for under the Consumer Contracts Regulations 2013, then you have the right to cancel your contract within 14 calendar days of entering the contract without giving any reason. To exercise your right to cancel under the Consumer Contracts Regulations requirements, you must inform LegalZoom via email at customercare@legalzoom.co.uk of your decision to cancel by a clear statement. You may use the following cancellation form:

Effects of cancellation

If you cancel this contract, we will reimburse to you all payments received from you.

We will make the reimbursement without undue delay, and no later than 14 days after the day on which we are informed about your decision to cancel this contract.

We will make the reimbursement using the same means of payment as you used for the initial transaction. You will not incur any fees as a result of the reimbursement.

If you requested us to begin the performance of services during the cancellation period, you shall pay us an amount which is in proportion to what has been performed until you have communicated us your cancellation from this contract, in comparison with the full coverage of the contract.

5. Access to the Website

Reasonable efforts will be made to keep this Website available for use; however access is not guaranteed to be available all the time. LegalZoom will not be liable for any damage or loss suffered as a result of any periodic unavailability of this Website.

Due to the nature of the internet and the possibility of third party interference, this Website is not guaranteed to be free of all viruses and technical defects of any description or any forms of computer misuse. LegalZoom will not be liable for any damage or loss caused by such third party interference as a result of your use of this Website. You acknowledge that you are responsible for taking back up copies of your data and taking appropriate precautions to protect your computer systems against technical defects, viruses or computer misuse.

If there are links from this Website to other websites operated by third parties, LegalZoom does not guarantee that you will be able to access the other websites via any link on this Website. LegalZoom does not guarantee the content or accuracy of any third party's website, nor do we accept any responsibility for any damage or loss you may suffer as a result of your use of that website.

10. Modifications

LegalZoom reserves the right to change the terms, conditions, and disclaimers under which this Website or any service offered through it is offered. This right shall not affect the existing terms and conditions accepted by you upon making a legitimate purchase using this Website. These terms and conditions shall not affect your statutory rights as a consumer.

11. General

This agreement is governed by the laws of Malta. You hereby consent to the exclusive jurisdiction of the Maltese courts in all disputes arising out of or relating to the use of this Website. Use of this Website is unauthorised in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
